Terms of Service

These Terms are a binding agreement between you and Randoye LLC, trading as Govarova. By creating an account or using the service you agree to them. If you are agreeing on behalf of a company, you confirm you have the authority to bind it.

1. The service

Govarova is a B2B software platform for finding, verifying, enriching, and contacting business prospects, together with tools for reviews, social proof, SEO content, and a lead-capture chatbot. We provide it on a subscription basis, as described on our pricing page.

2. Your account

You must be at least 18 and provide accurate information. You are responsible for everything that happens under your account and for keeping your credentials secure. Tell us promptly at support@govarova.com if you suspect unauthorised access.

3. Acceptable use — read this one

Our Acceptable Use Policy is part of these Terms. It is not decoration. Because this platform can send email at scale, misuse of it harms real people and can get our sending infrastructure blacklisted, which harms every other customer.

You must not: send unsolicited bulk email in breach of applicable law; email people who have opted out; send messages without a working unsubscribe link and a truthful sender identity; scrape or contact individuals in a consumer (rather than business) capacity; upload data you have no lawful basis to hold; or use the platform for anything unlawful, deceptive, or harassing.

Breach of the Acceptable Use Policy is grounds for immediate suspension without refund.

4. Your data stays yours

You keep all rights to the data you upload. You grant us only the licence we need to host and process it in order to run the service for you. We do not sell your uploaded data, and we do not use it to enrich other customers' records.

Where we process personal data on your behalf, we act as your processor and you as the controller; our Data Processing Addendum applies and forms part of these Terms.

5. Your responsibility as a sender

You decide who to contact and what to say. That makes you the controller of your outreach. You are responsible for having a lawful basis to contact the people on your lists, for honouring opt-outs, and for complying with the laws that apply to you — including CAN-SPAM, the GDPR and UK GDPR, PECR, CASL, and any local equivalent.

We give you the tools to do this properly (verification, suppression, one-click unsubscribe). We cannot make the decision for you, and we do not accept liability for how you use them.

6. Billing, renewal, and cancellation

Subscriptions are billed in advance, monthly or annually, and renew automatically until cancelled. You can cancel at any time from your account; cancellation takes effect at the end of the current paid period and you keep access until then.

Fees are exclusive of taxes. Prices may change with 30 days' notice, which will not affect the period you have already paid for. See the Refund Policy.

7. Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, and we may change or discontinue features. If we discontinue something material, we will tell you.

8. Intellectual property

The platform, its software, and its branding belong to us. These Terms give you a limited, non-exclusive, non-transferable right to use the service while your subscription is active. You may not copy, reverse-engineer, or resell the platform.

9. Suspension and termination

We may suspend or terminate your account for breach of these Terms or the Acceptable Use Policy, for non-payment, or where we are required to by law. Where the breach threatens our sending reputation or another person's rights, we may act immediately and without notice.

10. Disclaimers

The service is provided "as is". We do not warrant that any contact record is accurate, current, or deliverable, that any email will reach an inbox, or that using Govarova will produce any particular commercial result. Contact data decays constantly; verification reduces bounces, it does not eliminate them.

11. Limitation of liability

To the maximum extent the law allows, neither party is liable for indirect, incidental, or consequential loss, or for lost profits, revenue, or data. Our total aggregate liability under these Terms is limited to the fees you paid us in the twelve months before the claim arose.

Nothing here excludes liability that cannot lawfully be excluded.

12. Indemnity

You will indemnify us against claims arising from your use of the service in breach of these Terms or the Acceptable Use Policy — including claims brought by people you contacted.

13. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules, and the courts of Wyoming have exclusive jurisdiction. If you are a consumer resident in the EU or UK, this does not deprive you of the protection of mandatory local law.

14. Changes

We may update these Terms. Material changes will be notified by email at least 30 days before they take effect. If you do not accept them, you may cancel before they apply.
